1 - Introduction
Welcome to Tamburis! We provide digital services including Wix website development, Customer Relationship Management (CRM) systems, and Artificial Intelligence (AI) solutions such as chatbots, cloud agents, and retrieval-augmented generation (RAG) tools (collectively, the “Services”). By accessing or using our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our Services.
Tamburis reserves the right to modify these Terms at any time, with notice provided via email or a banner on our website. Continued use of our Services after such changes constitutes your acceptance of the updated Terms.
2 - Definitions
For clarity, the following terms have the meanings below:

Client: The individual or entity engaging Tamburis for Services.

Services: Includes Wix website development, CRM system access, and AI solutions as described on our website.

Website: A site built on the Wix platform by Tamburis for the Client.

CRM: Tamburis’ proprietary multi-tenant Customer Relationship Management software, accessible via subdomains (e.g., client1.tamburis.com).

AI Solutions: AI-driven tools such as chatbots, cloud agents, and RAG systems provided by Tamburis.
3 - Services Provided
Tamburis offers the following Services:

Wix Websites: We design, develop, and deliver custom websites using the Wix platform, including optional SEO optimization and Google Ads setup. Hosting and domain fees are managed by Wix and are the Client’s responsibility unless otherwise agreed.

CRM: We provide access to our multi-tenant CRM system through a subscription model, including setup, support, and optional AI integrations. Clients access the CRM via personalized subdomains (e.g., client1.tamburis.com).

AI Solutions: We offer AI tools such as chatbots, cloud agents, and RAG systems, which may require third-party integrations or custom development. Specific deliverables and timelines will be outlined in a project agreement.
Tamburis reserves the right to modify or discontinue any Service with reasonable notice to Clients.
4 - Clients Responsibilities
To ensure successful delivery of Services, Clients agree to:

Provide accurate, complete, and timely information for website builds, CRM setup, and AI customization (e.g., content, branding materials, business requirements).

Ensure all content provided for Wix websites complies with applicable laws and does not infringe on third-party rights (e.g., no illegal or copyrighted material without permission).

Use the Services in compliance with all laws, including data privacy regulations (e.g., GDPR, CCPA).

Maintain backups of their data unless Tamburis explicitly agrees to provide backup services in writing.

Not misuse the Services, including attempting to reverse-engineer the CRM or AI tools, or using them for unlawful purposes.
Failure to meet these responsibilities may result in delays, additional fees, or termination of Services.
5 - Service-Specific Terms

Wix Websites
-
Delivery: Websites are delivered upon completion of design and Client approval. Additional revisions beyond the agreed scope may incur extra fees.

Hosting: Clients are responsible for Wix hosting fees and domain registration unless otherwise agreed.

SEO and Ads: SEO optimization and Google Ads setup are included if requested, but results are not guaranteed due to external factors (e.g., search engine algorithms).

CRM

Access: Clients access the CRM via a personalized subdomain (e.g., client1.tamburis.com). Access is granted upon subscription activation and payment.

Usage: Clients must not use the CRM to store or process illegal data. Tamburis is not responsible for data accuracy, which depends on Client input.

Downtime: Scheduled maintenance may cause temporary downtime, with reasonable notice provided.

Data Retention: Upon subscription cancellation, Clients have 30 days to retrieve their data, after which Tamburis may delete it.

Support: Basic support is included; premium support may be available for an additional fee.

AI Solutions

As-Is Delivery: AI tools are provided “as-is,” and outputs (e.g., chatbot responses) may not always be accurate. Clients are responsible for reviewing outputs before use.

Third-Party Integrations: Some AI tools may require third-party services (e.g., API access), which are the Client’s responsibility to obtain and maintain.

Custom Development: Timelines and deliverables for custom AI projects will be outlined in a separate agreement.

6 - Payment Terms

Wix Websites:

Project Payment: Pricing is quoted per project and is due in full upon delivery of the completed website.

Maintenance Fees: Tamburis provides ongoing maintenance for Wix websites, including updates and support. A maintenance fee, quoted annually, is payable at the beginning of each year following the initial delivery. Failure to pay the maintenance fee may result in suspension of maintenance services, though the website will remain accessible via Wix hosting (subject to Wix’s terms).

CRM:

Subscription Fees: Access to the CRM is provided through a subscription model, billed monthly or annually in advance, as agreed upon signup.

Custom Modifications: Any custom modifications or features requested beyond the standard CRM offering will be quoted per project or feature. Payment for custom modifications is due in full upon delivery of the completed feature.

Setup Fees: Initial setup fees, if applicable, are due upfront before access is granted.

AI Solutions:

Project Payment: Pricing is quoted per project and is due in full upon delivery of the AI solution (e.g., chatbot, cloud agent, RAG system).

Maintenance Fees: If ongoing maintenance is agreed upon (e.g., for updates, monitoring, or optimization of AI tools), a maintenance fee will be quoted and payable as per the agreement, typically annually at the beginning of the maintenance period. If no maintenance agreement is in place, Tamburis is not obligated to provide updates or support beyond the initial delivery.

General Terms:

Payments are accepted via bank transfer or credit card or paypal.

Refunds are not available for completed Wix website projects, CRM subscription usage beyond 30 days, or delivered AI solutions. Partial refunds for custom CRM modifications or AI projects may be considered on a case-by-case basis, minus work completed.

7 - Intellectual Property

Tamburis’ Property: Tamburis retains ownership of its CRM software, AI algorithms, proprietary tools, and any pre-existing templates or code used in Service delivery. Clients are granted a non-exclusive, non-transferable license to use these as part of the Services.

Client’s Property: Clients retain ownership of content they provide for Wix websites (e.g., text, images, logos). By providing content, Clients grant Tamburis a non-exclusive license to use it for the purpose of delivering the Services.

Website Designs: Tamburis owns the design of Wix websites unless ownership is explicitly transferred to the Client in writing. Clients may use the website for their business purposes but may not resell or redistribute the design.

AI Outputs: Outputs generated by AI tools (e.g., chatbot responses, RAG-generated content) are licensed to the Client for use but remain Tamburis property. Clients may not claim ownership of AI algorithms or underlying technology.
8 - Data Privacy and Security

Tamburis takes data privacy seriously. We handle Client data in compliance with applicable laws, such as the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). For details on how we collect, store, and process data, please see our Privacy Policy.

CRM and AI Data: Client data entered into the CRM or processed by AI tools is stored securely using encryption and industry-standard practices. Tamburis will not share this data with third parties except as required for Service delivery (e.g., third-party integrations) or as legally mandated.

Client Responsibility: Clients are responsible for ensuring their use of the Services complies with data privacy laws, including obtaining consent from their users for data processed via the CRM or AI tools (e.g., customer data in the CRM, chatbot interactions on a website).
9 - Service Limitations and Disclaimers

Tamburis strives to deliver high-quality Services, but certain limitations apply:

Wix Websites: We do not guarantee website uptime, performance, or SEO results, as these depend on Wix’s hosting and external factors like search engine algorithms. We are not responsible for issues arising from Client modifications to the website after delivery.

CRM: Data accuracy in the CRM depends on Client input. Downtime may occur for maintenance, with reasonable notice provided. We are not liable for data loss due to Client failure to maintain backups.

AI Solutions: AI tools are provided “as-is.” Outputs (e.g., chatbot responses, RAG-generated content) may not always be accurate or suitable for all purposes. Clients are responsible for reviewing and validating AI outputs before use.

The Services are provided without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose, except as required by law.
10 - Limitation of Liability

To the fullest extent permitted by law:

Tamburis is not liable for indirect, incidental, or consequential damages (e.g., lost profits, business interruption) arising from the use of our Services.

Our total liability for any claim is limited to the amount paid by the Client for the specific Service giving rise to the claim.

Tamburis is not responsible for third-party services (e.g., Wix hosting, third-party AI integrations) or Client actions that violate these Terms.
11 - Indemnification

Clients agree to indemnify and hold Tamburis harmless from any claims, damages, or losses arising from:

Client-provided content that infringes third-party rights (e.g., copyrighted material on a Wix website).

Client misuse of the Services (e.g., using the CRM to store illegal data).

Client failure to comply with applicable laws, including data privacy regulations.
12 - Termination

By Tamburis: We may terminate or suspend Services for non-payment, breach of these Terms, or misuse of Services, with 10 days’ written notice. Upon termination, Clients must pay for all work completed.

By Client: Clients may cancel Services with 30 days’ written notice, subject to payment for work completed (e.g., Wix website projects) or subscription fees owed (e.g., CRM).

Post-Termination: Upon termination, access to the CRM or AI tools will cease, and Clients must retrieve their data within 30 days, after which Tamburis may delete it.
13 - Governing Law
These Terms are governed by the laws of the Republic of Albania, without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of the Republic of Albania.
14 - Changes to Terms
Tamburis reserves the right to update these Terms at any time. We will notify Clients of significant changes via email or a banner on our website. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
